Job Description

POSITION SUMMARY :

The Senior Associate General Counsel will join the legal team and will report directly to the General Counsel. You will serve as the primary legal advisor on real estate, construction, and property development matters across all business operations. The position will require specialized legal counseling on real estate transactions, lease negotiations, property use and development matters, and regulatory matters while also supporting broader corporate legal initiatives. This position will be based in Springfield, Missouri.

DUTIES & RESPONSIBILITIES :

  • Provide proactive, practical, and timely day-to-day advice to internal business partners across all areas of Bass Pro and its affiliates' businesses on a wide variety of real estate-related legal issues.
  • Lead negotiations, draft, and review store leases, corporate office leases, distribution center leases, and other real estate agreements for Bass Pro's retail locations and facilities.
  • Manage complex real estate acquisitions and dispositions, including due diligence oversight and closing coordination for new store locations, hospitality-related development, mergers and acquisitions, and other types of investment properties.
  • Draft and negotiate construction and development agreements, including contractor agreements, architect agreements, and vendor contracts for development and renovation of various property/project types.
  • Advise on zoning, land use, permitting, and regulatory compliance matters for development and renovation of various property/project types.
  • Monitor legislative and regulatory developments in real estate, construction, and land use law; proactively identify and assess real estate risks and opportunities; advise internal business partners regarding same.
  • Manage landlord-tenant relationships and disputes, including CAM reconciliations, lease defaults, collections, and eviction proceedings.
  • Represent the company in real estate-related administrative matters, regulatory inquiries, and local government proceedings.
  • Supervise and manage outside counsel on real estate litigation and complex transactions, including transactions including real estate finance.
  • Support the existing legal team with daily work and strategic initiatives.

EXPERIENCE & QUALIFICATIONS :

  • J.D. from ABA accredited law school.
  • Admitted and member in good standing in at least one state bar and ability to become licensed as in-house counsel in Missouri.
  • 10+ years' legal experience practicing in a law firm or in-house legal department, with substantial real estate law experience. Recent retail and/or hospitality related experience preferred.
  • Demonstrated expertise in real estate law including lease negotiations, acquisitions, construction law, and zoning/land use regulations.
  • Experience with retail real estate transactions, including store leases, ground leases, and purchase/sale agreements.
  • Proven track record of managing complex real estate transactions and leading cross-functional teams.

KNOWLEDGE, SKILLS, & ABILITY :

  • Excellent written and verbal communication skills.
  • Excellent legal analysis and reasoning skills, including the ability to quickly integrate and synthesize facts and law to make legally sound decisions in compressed timeframes.
  • Deep understanding of real estate and construction legal frameworks and ability to translate complex processes and requirements into practical business guidance.
  • Strong negotiation skills and experience managing complex real estate transactions.
  • Ability to balance and prioritize multiple time-sensitive issues involving business partners in various departments.
  • Ability to provide direct and timely advice and counseling to business clients at various levels of the organization.
  • Ability to think strategically and evaluate potential risks to the company, including economic, legal, and reputational.
  • Leadership and mentoring skills to guide cross-functional teams.
  • Self-motivated and able to work independently.
  • Excellent interpersonal skills; team player who is flexible and adaptable.

TRAVEL REQUIREMENTS :

  • 5% - Limited travel when necessary.

PHYSICAL REQUIREMENTS :

  • Regular computer work, and sitting.
  • Occasional walking and standing.
